Artificial Intelligence Football Association (AIFA) is a forthcoming play-and-earn game.

AIFA All-Stars (All-Stars) is a collection of digital characters expressed as Non-Fungible Tokens (NFTs) utilizing blockchain technologies on the Ethereum network.

ASM Brains (Brain) is collection of digital functional-assets expressed as NFTs utilizing blockchain technologies on the Ethereum network.

ASM AIFA Genesis Boxes (Box) is a digital-functional collection expressed as NFTs utilizing blockchain technologies on the Ethereum network.

Altered State Machine (ASM) is a New Zealand Limited Liability Company, the creator of AIFA, All-Stars, and ASM Brains.

ASTO is a digital asset issued by ASM as an ERC20 token on the Ethereum blockchain.

ASTO-Energy is a valuable proof of participation accrued by staking ASTO tokens, ASTO Auction LP tokens or ASTO-USDC UniSwap LP tokens. It is not a currency or token with external value outside of the ASM protocol or ecosystem.

ASTO Auction LP tokens are unique ASTO-USDC pair tokens issued by ASM for providing ASTO or USDC liquidity in the ASTO liquidity Bootstrap Auction (LBA).

ASTO-USDC UniSwap LP Tokens are unique ASTO-USDC pair tokens known as liquidity tokens. These tokens represent a given liquidity provider's contribution to a UniSwap liquidity pool.

ASM PLATFORM or ASM PROTOCOL is a decentralized protocol providing services relating to ASTO, A.I., NFTs and other functions, and made available publicly on the internet.

Genome Mining refers to an event in the ASM protocol where participants will have the opportunity to accrue ASTO-Energy and use it to mine ASM Gen II Brains.

Liquidity Bootstrap Auction or LBA means a “liquidity bootstrap auction” of ASTO using smart contract technology on the Ethereum blockchain.

Mining Cycle or Exploration & Mining Cycle is a phase of Genome Mining where the community will be able to utilize their generated ASTO-Energy to mint new ASM Brains.

Production Cycle is a phase of Genome Mining where the community will be able to stake ASTO tokens and ASTO-USDC UniSwap LP tokens to generate ASTO-Energy.

Risk Disclosure means the risk disclosure describing some of the risks associated with ASM, ASTO, the LBA and smart contracts, as well as some other risks, further below.

USDC means the “USDC” branded stablecoin on the Ethereum blockchain

Website refers to the internet website hosted at https://aifa.football and https://alteredstatemachine.xyz , both operated by ASM.

Whitepaper means the ASM white paper available here https://whitepaper.alteredstatemachine.xyz

This website is an interface allowing participants to purchase certain digital assets and manage them in certain ways according to these Terms.

By viewing, using, or transacting with this Website you agree to be bound by these terms.

Users are entirely responsible for the safety and management of their own private wallets and validating all transactions and contracts generated by this website before approval.

ASTO, AIFA, All-Stars, and Brains smart contracts runs on the Ethereum network and is bound by its immutability, there is no ability to undo, reverse, or restore any transactions. For the avoidance of doubt, ASM are unable to offer refunds on any transactions, under any circumstances.

This website, our smart contract, and all connected services related to ASTO, AIFA, All-Stars, and Brains are provided “as is” without any warranty or promise of availability of services of any kind.

By using this website to mint or manage the collection, you are accepting sole responsibility for any and all transactions involving the collection, and any others offered by ASM and added to this website in the future.

You will own non-exclusive full commercial rights to your All-Star and the underlying art of that specific character, so long as you continue to own and control the related NFT as outlined in our License Agreement.

Ownership of the NFT is mediated entirely by our smart contract. At no point can we seize, freeze, or otherwise modify the ownership of any NFT.

You may assign some of these rights to other commercial projects, but any future transfer of your NFT will be subject to those rights that you have already assigned. You can put your All-Star on clothing and merchandise, include them in video games and video projects, and generally do whatever you want with your All-Star.

You cannot use the name “AIFA All-Star" or derivations of it on any commercial product unless connected directly to the name or the number of your All-Star signifying the NFT you own.

You agree not to use your All-Star in any project or derivative work that involves hate speech, racism, or any illegal content.

You will own non-exclusive full commercial rights to your Brain and the underlying art of that specific Brain, so long as you continue to own and control the related NFT as outlined in our License Agreement.

Ownership of the NFT is mediated entirely by our smart contract. At no point can we seize, freeze, or otherwise modify the ownership of any NFT.

You may assign some of these rights to other commercial projects, but any future transfer of your NFT will be subject to those rights that you have already assigned. You can put your Brain on clothing and merchandise, include them in video games and video projects, and generally do whatever you want with your Brain.

You cannot use the name “ASM Brain" or derivations of it on any commercial product unless connected directly to the name or the number of your All-Star signifying the NFT you own.

You agree not to use your Brain in any project or derivative work that involves hate speech, racism, or any illegal content.

The AIFA Website offers the functionality to open an ASM AIFA Genesis Box NFT, and mint 4 All-Stars and 1 ASM Brain in return.

By opening an ASM AIFA Genesis Box NFT and minting the All-Stars and Brain contained in that Box, you surrender your right to to ownership of the box NFT and give permission for ASM to send that box to a specified burn wallet, where it will no longer be accessed.

ASM will continue to make this Website and the Box opening functionality available for the foreseeable future. However, ASM reserves the right to sunset, remove, or modify this Box opening functionality at its sole discretion.

This Website presently offers the functionality to change some configuration elements of All-Star NFTs on a one-time basis, according to the limitations contained in the Website code.

ASM will continue to make this Website and the All-Star configuration functionality available for the foreseeable future. However, ASM reserves the right to sunset, remove, or modify this configuration functionality at its sole discretion.

The AIFA game has not yet been released. ASM intends to release the AIFA game at this Website.

However, ASM reserves the right to release the AIFA game at a time of its own discretion, in a location other than this Website, and to offer functionality that may differ to the functionality indicated on this Website.

The AIFA game will be subject to its own terms and conditions of use. The AIFA terms may supersede these Terms in whole or in part.

At 11:01am 17/06/2022 NZST, the Genome Mining event commenced with its first cycle: Production Cycle 01. This cycle will finish on or about 11:01am 15/08/2022 NZST, and will lead onto Mining Cycle 01. There will be at minimum three Genome Mining events, and Altered State Machine reserves the right to instantiate additional Genome Mining events by DAO vote until the required supply of new ASM Brains is met.

During Genome Mining Production Cycles, holders of ASTO tokens and ASTO-USDC UniSwap LP tokens may commit their assets to the Production Cycle smart contracts to generate ASTO-Energy. LBA participants will automatically have their ASTO Auction LP tokens committed to the ASTO-Energy generation smart contract upon commencement of Genome Mining, and may withdraw at any time.

At or about 11:01am 15/08/2022 after the closure of Production Cycle 01, the Mining Cycle will commence. This cycle will finish on or about 11:01am 14/10/2022, and will mark the end of the first Genome Mining event. During Mining Cycles, participants which have accrued ASTO-Energy will be able to spend it to mine and mint new ASM Brains into the ASM protocol. The next Production Cycle will also commence at this date and run concurrently with the Mining Cycle.

ASTO-Energy is not a currency or token which is tradeable, viable or holds any value outside of the ASM protocol and ecosystem. It is a proof-of-participation which accumulates value in these discrete protocol events. ASTO-Energy generation may be boosted through multipliers and streaking multipliers when staking the respective token assets eligible for these boosts.

Your participation in Genome Mining is subject to you accepting these Terms & Conditions and having read and accepted the Risk Disclosure.

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, ASM DOES NOT MAKE ANY REPRESENTATIONS OR WARRANTIES AND EXPLICITLY DISCLAIMS ALL OTHER REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS, IMPLIED, WRITTEN, ORAL OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND WARRANTIES OTHERWISE ARISING FROM A COURSE OF DEALING, COURSE OF PERFORMANCE OR USAGE OF TRADE.

You agree to not hold the ASM team responsible for any losses you may incur as a consequence of minting your NFT, whether due to Internet connection issues, demand outstripping supply, or any other unforeseen problems. These potential losses include any gas fees for failed transactions, any excessive gas fees charged due to website or smart contract bugs, and any loss of your NFT due to website or smart contract bugs.

All-Star, Brain or Box NFT tokens are not meant to be an investment. We make no claim or guarantee that your NFT will be worth anything in the future. You understand that they have no inherent monetary value.

You are entirely responsible for any tax liability which may arise from minting, managing or reselling All-Star, Brain or Box NFTs.

The All-Star, Brain and Box collections are not targeted towards children. You agree that you are over the age of 18, or above the legal age of your jurisdiction, whichever is greater.

You agree that for purposes of any legal dispute, you will be subject to the jurisdiction of New Zealand and that any legal proceeding will be brought in New Zealand.
